(the "Contest") Official Rules

Sponsor

This contest is sponsored by Toast, Inc., located at 401 Park Drive, Suite 801, Boston, MA 02215 (“Sponsor” or “Toast”).


Entry

Owners, operators, employees, and other staff of existing Toast customers may submit an application on behalf of their own restaurant or other Toast customer restaurants, (each, an “Entrant”) by posting a video no longer than 60 seconds welcoming diners back and showcasing how the Entrant used Toast technology to reimagine their restaurant for safety with the hashtag #WelcomeBackRestaurants and tagging @toasttab on Facebook and/or Instagram and/or Twitter, as detailed on the Contest landing page, located at https://pos.toasttab.com/WelcomeBackRestaurants. Each application will be considered an “Entry.”  By entering, you indicate your full and unconditional agreement to these Official Rules and Sponsor’s decisions regarding the Contest. Limit one (1) Entry per individual; multiple Entries will not increase chances of winning.


Eligibility

Only existing Toast customers who have used Toast Services (as defined in the Toast Merchant Agreement, available at https://pos.toasttab.com/merchant-agreement) for a period longer than six (6) months may apply for and be eligible to win the Contest. However, anyone may vote for a Finalist during the Voting Period to determine the Winner. Restaurants owned by employees of Sponsor or their immediate family members (spouse, parents, siblings, and children) and household members of each such employee are not eligible for the Contest. Incomplete, unreadable, unintelligible, duplicate, and fraudulent entries and any entries that violate these Official Rules will be disqualified.


Entry Period

Entries must be received no later than 11:59PM ET on July 14, 2021 to be eligible. Sponsor’s computer is the official time-keeping device for the Contest.


Voting

Once the Entry Period has ended, Toast will select the top 4 restaurants (the "Finalists"). The Finalists will be put up for a public vote. Voting for the Finalists will open to the general public, including without limitation the Finalists themselves, at 10:00AM ET on Friday, July 16, 2021 and all votes must be received by 4:59PM ET on Sunday, July 18, 2021 (the "Voting Period") to be eligible. Votes may be cast via the following method: by “liking” any of Toast’s official posts of an Entrant’s Entry submission (each, a “Vote”).  Votes that do not meet these criteria will not be counted. 


Judging Criteria

Selection of the Finalists and the Winners will be determined as follows, based on the submissions provided in Entries and Votes. Toast reserves the right to validate any information in the Entries and Votes and disqualify any Entries or Votes that contain false or misleading information or offensive language or content.


  • Message: An Entry must include a message welcoming back guests following COVID

  • Reimagining Restaurants: An Entry should demonstrate how the restaurant reimagined itself as a result of COVID-19, conveying physical transformation of the restaurant and/or business model. 

  • Toast Featured: An Entry should highlight any Toast tools or solutions that have helped their restaurant survive and/or thrive.

  • Creativity / Uniqueness: An Entry should employ a high level of ingenuity in messaging their welcome back story, and/or demonstrate the unique story of the restaurant itself. 

  • Native Social Reactions: An Entry should drive a high volume of engagement, in the form of “likes”, comments, and/or reactions on Toast’s official posts of the Entry. 

  • Overall Quality: An Entry should strive for high production quality and value.


Winner Selection

A total of two (2) winners (each a "Winner") will be selected on Monday, July 19, 9021. Winners will be notified via direct message to Winner’s restaurant social media accounts and/or the email address that Toast has on file for the customer. The odds of winning depend upon the number of votes received for each Finalist. 


Except where prohibited, a potential winner may be required to complete and return an affidavit of eligibility and liability and publicity release. A potential winner will be required to complete and return an Affidavit of Eligibility, liability/publicity release, and/or W-9 form. Recipients of prizes valued at more than $600 must provide Sponsor with their social security number or applicable tax identification number in accordance with IRS regulations to enable the Sponsor to issue a Form 1099-Misc. If a potential winner fails to complete, sign and return these documents within five (5) business days, an alternate entrant may be selected in his/her place according to the Judging Criteria. Only three (3) alternate potential winners may be contacted per category.


Prizes

Each Winner will receive Prizes as follows:


  • $25,000 for use reimagining the Winner’s physical space

  • Recognition of Winner on Toast social media channels and in promotional materials produced by Toast


Prize Conditions

Prizes are subject to availability. Prizes must be used within one (1) year. Each Winner is required to accept the applicable Prize during a live videocast over Facebook/Instagram. If such Winner is not able to accept the Prize via livecast for any reason, Sponsor reserves the right to select an alternate Entrant to receive the Prize according to the Judging Criteria. Each Winner is solely responsible for paying any federal, state, local, and income taxes and any other costs and expenses not expressly covered by Sponsor in these rules. Any Prize details not specified above will be determined by Sponsor in its sole discretion. Any other incidental expenses on Prize not specified herein are the Winner’s sole responsibility.


A Prize may not be assigned or transferred and must be accepted as awarded. You may not request cash or a substitute prize; however, Sponsor reserves the right to substitute a Prize with another prize of equal or greater value if the Prize is not available for any reason, as determined by Sponsor in its sole discretion.


Except where prohibited by law, entry and acceptance of a Prize constitute permission to use Winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.


Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor or prize providers. Winner acknowledges that the Sponsor, prize providers, and all other businesses affiliated with this Contest and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the Prize being offered.


Release and Limitations of Liability

By participating in the Contest, you agree to release and hold harmless Sponsor and its parents, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest (including the voting process); (b) technical errors; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Contest or the processing of Entries; or (f) injury or damage to persons or property. You further agree that in any cause of action, in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.


Disputes

You agree that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Boston, MA. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Massachusetts, without giving effect to any choice of law or conflict of law rules (whether of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Massachusetts.


Contact and Results

Sponsor shall publicly announce the Winners of the Contest through its social media channels after the votes have been tallied. To be notified of the Winners, email WelcomeBackAwards@toasttab.com with the subject line “Toast Welcome Back 2021 Winner List.” Requests must be received between July 25, 2021 and August 25, 2021.


Additional Terms

Except where prohibited by law, by accepting any prize, each Winner consents to the use of his/her name, image and/or likeness, biographical information, winning Entry and statements attributed to Winner (if true) for advertising and promotional purposes in any medium without additional compensation to or permission from Winner. All Entries become property of Toast, Inc. and such information shall be processed in accordance with Toast's Privacy Statement.


In the event that the operation, security, or administration of the Contest is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest; or (b) award the prizes according to the Judging Criteria from among the eligible Entries received up to the time of the impairment. Sponsor reserves the right to extend the Entry Period if it does not receive a sufficient number of Entries (as determined by Sponsor, in its sole discretion) by the date set forth above. Sponsor reserves the right, in its sole discretion, to disqualify and seek damages from any individual who tampers with the operation of the Contest, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. The Contest is subject

to federal, state, and local laws and regulations and is void where prohibited.
