OFFICIAL RULES

5. HOW TO CLAIM A PRIZE:  Each participant will receive their prize by visiting the Toast Booth #5841 at the National Restaurant Association Show between 12pm-5pm CT on Monday, May 20. Tickets are not redeemable after May 20, 2024 at 5pm CT. Each winner shall be solely responsible for payment of any and all applicable federal, state, and local taxes for his/her prize won. Sponsor will issue an IRS Form 1099-MISC for the Grand Prize Winner. All other costs and expenses not expressly set forth herein shall be solely each winner’s responsibility.          The prizes will only be awarded to verified Winners. Prizes that are unclaimed, unredeemed, or returned as undeliverable will not be awarded. 

6. LIMITATION OF LIABILITY:  By participating in the Promotion, you agree to release and hold harmless Sponsor and its parent, subsidiaries, affiliates; and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of a prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone, or network lines; (c) any other technical, mechanical, printing, or typographical or other error; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion or the processing of entries; or (f) injury or damage to persons or property. participants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney’s fees. Participants waive the right to claim any damages whatsoever, including, but not limited to, punitive, exemplary, special, incidental, consequential, or indirect damages.

If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Promotion and/or proceed with the Promotion, including the selection of winners in a manner it deems fair and reasonable including the selection of the winners from among eligible ”bingo cards” received prior to such cancellation, termination, modification or suspension. If for any reason, including but not limited to an administrative, printing, production, computer or other error or due to technical difficulties or incorrect announcements of any kind, more winning tickets/messages are distributed, or more prizes are claimed than are intended to be awarded according to these Official Rules, the intended prizes will be awarded in a random drawing from among all verified prize claims received. This Promotion is subject to all federal, state, and local laws and regulations.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION, INCLUDING THE “BINGO CARDS” AND PRIZE COMPONENTS, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSIONS OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.

7. DISPUTES:  THIS PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF MASSACHUSETTS, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN BOSTON, MASSACHUSETTS. PARTICIPANTS AGREE THAT THE RIGHTS AND OBLIGATIONS OF ANY PARTICIPANT AND/OR PROMOTION ENTITIES AND/OR ANY OTHER PARTY SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

8. PRIVACY:  Any information participants provide or submit as part of the Promotion will be used for purposes of this Promotion and for the Sponsor’s general business purposes in accordance with Sponsor’s Privacy Statement which can be found here: https://pos.toasttab.com/privacy. By entering the Promotion, you agree to the use of your personal information as described in Sponsor’s Privacy Statement, above, and as otherwise set forth in these Official Rules. 

9. PUBLICITY RIGHTS:  By participating in the Promotion and/or accepting a prize, each participant agrees to allow Sponsor the perpetual right to use his or her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered (including live television), worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law. 

10. GENERAL: Any attempted form of participation in this Promotion other than as described herein is void. In the event that the operation, security, or administration of the Giveaway is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to these Official Rules; or (b) select from the eligible entries up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual who tampers with the operation of the Promotion, violates these Official Rules, attempts to undermine or corrupt the legitimate operation of the Promotion, or acts in an unsportsmanlike or disruptive manner. Sponsor reserves the right to seek damages from any person who seeks to undermine the legitimate operation of the Promotion. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of such term or any other term set forth in these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or notifications and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
